Bidancer Terms of Service

These Terms of Service ("Terms") are an electronic record under the Information Technology Act, 2000 and the rules made under it. They do not require a physical or digital signature.

Bidancer is a product and platform operated and provided by Knoxpo Solutions Private Limited ("Knoxpo", "we", "us", "our"), a private limited company incorporated under the laws of India. When you use Bidancer, your agreement — and every right and obligation described in these Terms — is with Knoxpo Solutions Private Limited, not with any separate "Bidancer" entity.

1. Acceptance and eligibility

1.1 By creating an account, ticking the acceptance checkbox, or continuing to use Bidancer after being shown these Terms, you agree to be bound by them and by our Privacy Policy.

1.2 Bidancer is a business-to-business platform. You must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872.

1.3 If you use Bidancer on behalf of a company, firm, or other entity, you confirm that you are authorised to bind that entity to these Terms, and "you" includes that entity.

1.4 We may update these Terms from time to time. Each revision is published as a new numbered version with its effective date. Where a revision materially affects your rights, you will be asked to review and accept the new version before continuing to use the platform. Your consent history — which version you accepted and when — is retained as described in the Privacy Policy.

2. The Bidancer service

2.1 Bidancer is a verified business marketplace: businesses list their products, services, franchise offerings, and trade-show participation; buyers discover them and connect through structured enquiries and tenders.

2.2 Verification. Participation requires identity and business verification (KYC). Verification indicates that submitted documents were checked at a point in time; it is not an endorsement, guarantee, or underwriting of any user or business.

2.3 We are not a party to your transactions. Bidancer provides discovery, communication, and workflow tools. Contracts for goods or services concluded between users are between those users alone. We do not act as agent, broker, seller, or buyer, and we are not responsible for the quality, safety, legality, delivery, or payment of anything transacted between users.

2.4 Paid intent and credits. Certain actions (such as submitting or accepting enquiries and bids) consume platform credits. Credit balances, purchases, and deductions are recorded in an auditable ledger. Credits are not money, are not transferable outside the platform, and are refundable only where these Terms or applicable law expressly provide.

2.5 Contact privacy. Contact details of users and businesses remain private until revealed through the platform's own flows (for example, acceptance of an enquiry or tender bid). Attempting to bypass these flows to cold-contact users is prohibited.

3. Accounts, KYC, and security

3.1 You must provide accurate, current, and complete information during registration and verification, and keep it updated.

3.2 You consent to our verification of the identity and business documents you submit, including through authorised third-party verification providers and government-operated systems (for example DigiLocker or Aadhaar-based verification where you choose them).

3.3 You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at [● support email] of any unauthorised use.

3.4 We may decline, suspend, or withdraw verification, or limit account functionality, where documents cannot be verified, appear forged or tampered with, or where required by law.

4. Conduct and prohibited uses

4.1 You must comply with all applicable laws and with the Bidancer Community Guidelines published on the platform, which form part of these Terms.

4.2 You must not, among other things:

  • impersonate any person or entity, or misrepresent your affiliation, credentials, or the nature of your business;
  • publish content that is unlawful, deceptive, defamatory, obscene, infringing, or otherwise objectionable under Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021;
  • list goods or services whose sale is prohibited or restricted under applicable law;
  • bypass or attempt to bypass credit-based flows, contact-privacy protections, or verification requirements;
  • scrape, harvest, or bulk-extract platform data, or use bots or automated agents except through interfaces we expressly provide;
  • introduce malware, probe or test the vulnerability of our systems without written authorisation, or interfere with the platform's operation;
  • use the platform to send unsolicited commercial communications outside the platform's structured flows.

4.3 Listings and profile changes may be subject to moderation. Where previously approved content is edited, the last approved version may remain live while the edit is reviewed.

5. Content and intellectual property

5.1 You retain ownership of the content you submit (listings, logos, documents, media). You grant Knoxpo a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt, publish, and display that content for operating, promoting, and improving the platform.

5.2 You represent that you have all rights needed to grant that licence and that your content does not infringe any third party's rights.

5.3 The Bidancer platform — including its software, design, trademarks, and databases — is owned by or licensed to Knoxpo. Except for the limited right to use the platform under these Terms, no rights are transferred to you. "Bidancer" and associated logos are marks of Knoxpo Solutions Private Limited.

5.4 If you believe content on the platform infringes your rights, write to the Grievance Officer identified in Section 13.

6. Credits, fees, and payments

6.1 Prices for credit packages and paid features are shown before purchase and are exclusive of applicable taxes unless stated otherwise.

6.2 Payments are processed by third-party payment providers; your use of them is subject to their terms. We do not store your full card or bank credentials.

6.3 All wallet and credit movements are recorded in an append-only ledger available to you in your account. Manifest errors in the ledger will be corrected, and the correction itself recorded.

6.4 Except where required by law or expressly stated (for example, a credit refund on rejection of an enquiry where the platform so provides), fees and consumed credits are non-refundable.

7. Third-party services

The platform integrates third-party services (identity verification, payments, communications). We are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies.

8. Disclaimers and limitation of liability

8.1 The platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

8.2 We do not warrant that the platform will be uninterrupted, error-free, or secure, or that verification eliminates the risk of dealing with any user.

8.3 To the maximum extent permitted by applicable law, Knoxpo's aggregate liability for all claims arising out of or relating to the platform in any twelve-month period shall not exceed the greater of (a) the amounts you paid to Knoxpo for the platform in that period, and (b) INR 10,000.

8.4 To the same extent, Knoxpo shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising from your use of the platform or your dealings with other users.

8.5 Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud.

9. Indemnity

You agree to indemnify and hold harmless Knoxpo, its directors, officers, and employees from claims, liabilities, and expenses (including reasonable legal fees) arising out of your content, your breach of these Terms, your violation of law, or your dealings with other users.

10. Suspension and termination

10.1 You may stop using the platform and request account closure at any time.

10.2 We may suspend or terminate your access, remove content, or withhold features where you breach these Terms or the Community Guidelines, where required by law, or where your conduct creates risk for the platform or its users. Where practicable, we will notify you and give you an opportunity to respond.

10.3 Provisions that by their nature should survive termination (including Sections 5, 8, 9, 12, and accrued payment obligations) survive.

11. Changes to these Terms

11.1 We version these Terms. Each published version records its version number, publication date, and effective date.

11.2 When a new version takes effect, you will be presented with it on your next sign-in and must accept it before continuing to use the platform. We retain a historical record of the versions you accepted and when, as evidence of consent.

12. Governing law and disputes

12.1 These Terms are governed by the laws of India.

12.2 Subject to Section 12.3, the courts at [● city of registered office], India shall have exclusive jurisdiction over disputes arising out of these Terms or the platform.

12.3 Before initiating proceedings, you agree to first raise the dispute with us in writing and allow thirty (30) days for good-faith resolution.
